Overview of Capital Procurement

Quantum Solutions, Inc. announced that at a board meeting held on August 7, 2026, the company approved three strategic measures to accelerate the growth of its AIDC (AI Data Center) business. Specifically, the company plans to raise a total of approximately ¥3.28 billion through the issuance of new shares and stock acquisition rights, with Blackwell Cloud Co., Limited and CVI Investments, Inc. as the allottees. Up to ¥1.48 billion of these funds will be allocated toward launching the AIDC business in Japan and establishing a foundation for AI infrastructure construction.

Strategic Business Direction

Listed on the Tokyo Stock Exchange Standard Market, Quantum Solutions has positioned its AIDC business as the cornerstone of its mid-to-long-term growth strategy. Having previously focused on securing capacity in high-density data centers and preparing necessary power infrastructure, the company will now use the newly acquired capital to accelerate the deployment of NVIDIA B300 GPU servers, networking hardware, and storage equipment, effectively commercializing its AI infrastructure operations.

Refinement of Capital Policy and Talent Acquisition

In conjunction with this capital procurement, the company will refinance its existing 13th series stock acquisition rights and 4th series unsecured convertible bonds. These moves are designed to reduce the number of potential dilutive shares and enhance the flexibility of the company's capital structure. Furthermore, the company has decided to issue tax-qualified stock options to its group employees. This initiative is aimed at attracting and retaining the top-tier talent necessary for the development and management of complex AI infrastructure, ultimately driving long-term corporate value.
